This presentation will talk about some tax planning opportunities and tax pitfalls for structuring loans and investments into closely held business interests, whether they are LLCs or “S” Corporations. In addition, we will also discuss some asset protection benefits in carefully structuring capital infusions into the business as loans versus capital contributions.

Britton Lewis
Britton Lewis is an associate attorney at Carruthers and Roth where he’s spent four years working with the Commercial Real Estate and Banking and Finance practice groups. He routinely helps clients navigate complex issues relating to how bankruptcy and insolvency proceedings will affect the rights of creditors and shareholders. Prior to joining Carruthers and Roth, he spent two years working for the chief bankruptcy judge at which time he developed a keen understanding of the Bankruptcy Code. Britton enjoys advising clients on how to structure financial transactions on the front end and also helps many of those same clients in their efforts to recover unpaid debts when they run into collection issues.
Keith Wood
Keith Wood, CPA, JD, an attorney with Carruthers & Roth, PA, in Greensboro, NC, is certified by the North Carolina State Bar as a Board Certified Specialist in Estate Planning and Probate Law. Keith's practice areas include tax planning and representation of clients before the Internal Revenue Service and North Carolina Department of Revenue, corporate law and business transactions, and estate planning. Keith is a frequent speaker to civic and professional groups on business planning, taxation, and estate planning, and has authored published articles on these topics. Keith previously served as Chair of the Tax Section of the North Carolina Bar Association.
